Job Purpose: Directs the legal affairs of the organization with a focus on Global and European Headquarters functions support in Europe (e.g., Tax, Finance, Accounting, Treasury, Business Units, HR, Corporate Secretarial, etc.)
and regional and country operations.
Supports all M&A transactions in Europe.
Is responsible for coordinating and supervising a group of lawyers and other staff.
Participates in complex legal issues independently.
Counsels and advises management on legal matters.
Participates in or conducts negotiations, litigation and transactions on behalf of TD SYNNEX and assists in the defense of the organization in legal action.
Supports the organization by providing clear pragmatic advice with regard to risk, compliance and other general legal issues.Responsibilities:• Manage, advise and lead the European, Regional and Country Legal teams; Act as the strategic legal business partner to the European Executive Board members relative to their respective areas of responsibility in Europe;Develop and propose innovative legal and compliance policies and best practices by recommending policies and procedures to the business for approval and implementation, while balancing risk governance needs and the company's goals;• Provide expertise, advice, and recommendations related to a broad range of legal issues by identifying concerns and developmental needs, and providing strategic advice to the business leadership in Europe and the HQ functions;• Promote and facilitate open and full communication links, and ensuring an effective flow of information between the various HQ, European and country and regional executives, boards, management, and outside advisors;• Manage complex legal issues;• Coordinate with the US and APJ Legal teams on global issues and in relation to various European and Country Laws;• Manage external counsel on issues that are outsourced;• Provide guidance and updates to the relevant persons on key changes to laws and regulations;• Work with the Ethics & Compliance Team on policy and training issues affecting the European business;• Advise the European business on intra-company transactions; Assists in managing and supporting all aspects of company secretarial activity as requested in the Europe region and in coordination with the Global legal function;• Acts as an authorized signatory or Procurist in the European HQ and regional entities and such other entities as are assigned; Advise and assist the European and assigned country and regional business in all litigation matters with the support of outside counsel, including commercial and employment disputes;• Provide legal support to the business, which may include a wide variety of transactional and non-transactional work including, but not limited to: Vendor Contract Management, Customer Contract Management, Litigation, and Compliance.
