With a presence in 38 countries across three continents and over 13,000 employees, our mission is to contribute to society through the continuous development of superior rail transport solutions.MissionReporting to the Deputy General Counsel and Senior Director Legal Italy, the Senior Legal Counsel will provide strategic advice, guidance and support that enables the business to achieve its strategic mission in a way that minimizes legal and compliance risk for the business.AccountabilitiesProviding legal support for commercial projects, including bidding, structuring, negotiation, contracting, procurement, contract execution, contract management and dispute resolution.Ensuring the compliance with the local public procurement law in all the public contracts, including the compliance with the relevant applicable laws; Collaborating with the other legal functions of the Regions in order to fulfil the requirements provided for the company in participating to local bidding, public contracts and projects.Providing legal support in the constitution and/or management of the joint ventures, consortiums or any other kind of associations, PPP or project financings.Participating in cross-functional teams, counselling stakeholders on legal commercial and reputational risk, leading discussions on risk management and ethical practices in a user-friendly and pragmatic manner.Ensuring compliance with corporate governance and approval requirements, company secretarial requirements, general commercial matters.Managing the services of outside counsel as needed and within budget.Collaborating with other colleagues within the global Legal & Compliance team on joint initiatives.Required Skills/KnowledgeAt least 10/15 years in top tier international law firms or industrial companies, experience in the rail sector would be valuable.Sound knowledge of Italian Law and practice, familiar with contracting schemes for infrastructure projects, public and private procurement.
Exposure to international contracting practices (EPC contracts, LTMAs, alliance agreements, joint ventures, consortia).Strong negotiation and risk management skills, able to operate at multiple levels including with customers, suppliers and other stakeholders.Familiarity with Italian corporate governance processes and regulations, and capability to deal with corporate documentation.Good verbal and written communications skills, listening, influencing and presentation skills, ability to work and communicate in a diverse global organization.Ability to prioritize and manage multiple tasks simultaneously, strong at problem-solving and critical thinking, willingness to travel occasionally.Team player, with cultural awareness and curiosity, willing to work with other functions and members of the Legal & Compliance team on joint initiatives.Absolute integrity and trustworthiness plus the credibility and ability to communicate the importance of same to all levels of the organisation.Education/QualificationDegree in Law and Admitted to practice.LanguagesFluent in English.BenefitsHitachi Rail employees enjoy a comprehensive benefits package including Competitive Pay, Medical, Dental and Vision Insurance, Short & Long Term Disability, Life & Accident Insurance, Flexible Spending Accounts, Savings Plan, and Paid Vacation.
