We are looking for a Managing Legal Counsel to join the Wolters Kluwer Global Law & Compliance Department in support of the Wolters Kluwer Legal & Regulatory division business lines operated in Italy. You will provide hands-on legal support of businesses offering software and content products and services to legal and compliance professionals and you will manage one legal professional also supporting these businesses. You will also manage corporate housekeeping and regulatory compliance at the level of Wolters Kluwer Italia which includes business units from two divisions. You will report to the Associate General Counsel for our Wolters Kluwer Legal & Regulatory division. This position will be based in Milano, Italia at the offices of Wolters Kluwer Italia.
Key responsibilities: Serving as primary legal support to the CEO of the Wolters Kluwer Legal & Regulatory Italia business, as well as the board of directors of Wolters Kluwer Italia;
Managing one legal professional to efficiently and effectively provide legal support across business functions;
Providing comprehensive legal counseling regarding a broad spectrum of corporate housekeeping, commercial, regulatory, and intellectual property matters, including legal issues related to software, content and service offerings and vendor and other strategic relationships;
Partnering with management and sales, marketing, product, and finance teams and advising on day-to day-legal issues, legal risks and best practices, intellectual property matters and compliance activities, mergers & acquisitions, collaborating with global and regional legal specialists and with local DPO and privacy champion on privacy issues;
Providing hands-on legal assistance in structuring and drafting, negotiating, interpreting, managing and enforcing routine, complex and high value commercial transactions and public tenders;
Creating and continuing the improvement of standard form agreements, playbooks, policies, and legal processes, and educating business teams about contracting, intellectual property rights, commercial and legal risks and approval processes helping drive greater consistency of approach and standards across the division business lines and across Wolters Kluwer;
Managing disputes, litigation, and outside counsel relationships;
Collaborating with colleagues supporting other commercial businesses and specialists from the Wolters Kluwer Global Law & Compliance Department in driving the delivery of effective, high quality legal services across Wolters Kluwer and contributing to the continuous improvement of the goals of the department.
Your profile: You are a fully qualified Italian lawyer; You have at least eight to ten years of professional progressively responsible experience in an internationally operating company with complex structures, ideally in a large corporation, or at an international law firm;
You have good knowledge of contract, corporate, IP (Copyright), privacy and IT laws as well as experience in the relevant use cases in a commercial enterprise;
You have an affinity for technology subjects as well as a good understanding of technical and economic contexts;
You act independently and proactively ("hands on"), can prioritize topics / requests and subsequently implement them in a structured and solution-oriented manner, and manage a team;
You have excellent legal acumen and rigorous analytic skills, superior legal drafting and negotiating skills;
You have strong communication skills and friendly persuasiveness, you are able to communicate confidently at eye level even with demanding stakeholders;
You are fluent Italian and English, in oral and written.
