Staff functions support transversally these business lines and are centrally managed by various Directors in charge for Legal and Corporate Affairs, Regulatory and Public Affairs, Procurement, Administration Finance Control, Human Resources Organization, Communication Public Relations.Who are we looking for?Within our General Counsel Department we're looking for a Senior Legal Counsel in our offices in Milan who, reporting to the Head of Legal RES MA, Retail and Energy Service BtoB, will be responsible for providing legal services to Italian Companies of the Group operating in the areas of Renewables on a broad kind of matters mainly related to In-house development of RES initiatives and co-developments agreements with third parties.
The candidate will guarantee the company, and any other legal entities of the Group, adequate support in the areas of competence, in order to evaluate, mitigate and/or eliminate the risks of legal nature connected to the specific activities of the area; he/she will guarantee legal compliance and will represent a strategic partner for the Business Units and Functions, adopting a proactive, problem solving, and thoughtful risk taking approach.What will you do?Management of legal activities – with a proper level of autonomy, in coordination with a cross-functional team - such as agreements of various nature, opinions, advices, etc.
Active participation in the negotiation and drafting of complex commercial contracts, including PPAs, co-development agreements, JV with potential partners, contract for obtaining proper rights on the lands.Perform, in coordination with the other involved corporate functions, the legal analyses of new investment initiatives (co-development, investment agreements, option rights, MA), identifying risks and opportunities, and draft of legal notes to be prepared, discussed and presented to internal investment committees at national and group level.Active role in developing new investments and business models ensuring compliance with all legal requirements.Provide legal advice and support to all business and functional areas within RES perimeter including study and analysis of the documentation relating to the authorization process regarding the projects and/or the plants in operation; drafting of letters, communications, opinions on specific matters (such as, usi civici, expropriations, PAS, VIA or other permitting procedures).What will you bring to ENGIE?University Degree in Law and Italian Bar Examination.
Post graduate Master is a plus.5/8 post-qualification experience in a leading law firm or as In-house lawyer working in house within the renewable energy sector or acting for renewable energy project developers in private practice.Proven track record in drafting and negotiating a wide range of construction contracts (including, engineering, procurement, and construction (EPC), operations and maintenance (OM) agreements, service level agreements, PPAs, warranty documents and performance guarantees, contract for obtaining proper rights on the lands).Past experience in (i) dealing with complex transactions (e.g.
: Mergers Acquisitions, negotiation of energy services agreements and consumer protection matters) and (ii) project finance transactions related to Renewable assets is a plus.Ability to work effectively in cross-functional teams, including international teams, within a complex organization and to provide business advice in the twofold role of business development partner and guarantor of the Company's integrity.Extensive knowledge of Italian energy laws and regulations, with particular focus on Renewables.General breadth of practical legal and business knowledge to support one or more practice areas.Effective legal communication skills (written, verbal, active listening).Italian and fluency in English (both written and spoken) are strictly required.
