POSITION TITLE: Counsel REPORTS TO: Senior Legal Counsel - Italy LOCATION: Milan, Italy PURPOSE: Responsible for negotiating agreements and contracts related to the lease of land and space in telecommunications infrastructure, as well as agreements regarding construction, sale, and usufruct of properties and wireless infrastructures. FUNCTIONS: Review, draft, negotiate and approve contracts including vendor contracts, contracts related to the lease/use of land and space in telecommunications infrastructure, as well as contracts regarding construction of wireless infrastructure including master lease/hosting agreements, site lease agreements, ground lease agreements, built-to-suit agreements, new tower development agreements. Review and analyze ground leases, easements, tenant leases, surveys, title reports, title insurances and other property-related contracts. Undertake property due diligence. Be involved in landlord and tenant matters and liaise with the business on general real estate queries. Provide legal support on the building permit application process. Obtain, review and analyze documents, including certificates and permits issued by Municipal and Environmental authorities related to the construction of wireless infrastructures. Perform and coordinate notarial and registry procedures as needed. Serve as liaison with local external lawyers whenever necessary, especially handling contentious matters. Assist in the implementation of standard forms and template agreements. Prepare trackers and other requested reports. Utilize software tools to manage legal issues (e.g., legal ticketing; contract management tools). These job functions are representative of tasks accomplished by incumbents. Standing, sitting, and walking required daily. QUALIFICATIONS: Have a valid and current legal title issued by the competent authority in Italy. At least 8 – 10 years of experience and practice in real estate law with a focus on contracts negotiation and administrative issues analysis and management. Proven expertise in the telco sector (with specific reference to the Electronic Communications Code and the construction of infrastructures) is preferable. Previous experience as an in-house lawyer is required. General expertise in administrative law. General expertise in contract management with a focus on construction contracts and professional services supply contracts. Good knowledge of English, both oral and written, to work with colleagues worldwide. Able to organize work by evaluating priorities, urgencies, and deadlines. Demonstrate accountability in evaluating risks and sensitive matters that should be highlighted to the reporting manager or business teams whenever necessary. Able to collaborate with colleagues in the legal department, internal teams, and stakeholders. Excellent communication and interpersonal skills. Advanced knowledge of Microsoft Office, including Word, Excel, PowerPoint, and Outlook.
