DescrizioneTalent Solution, part of Manpower Group, for an important pharmaceutical client based in Florence, is currently recruiting a motivated and detail-oriented individual for the role of Legal Counsel - Company Law and Governance.
You will work in the Global Legal Affairs & General Affairs Department - Company Law and Governance, reporting directly to the Global Legal Affairs & General Affairs Manager.
Main Activities and Responsabilities: Company Law & Governance issues including editing/review of corporate deeds etc.
; Support - from a Company Law/Governance standpoint - in M&A projects; Legal advice in Health, Safety and Environment (HSE) Law;Advice on public funding procedures; Legal advice on setting, drafting and updating of "231 Models" (MOGC) and companies' Codes of Ethics (Italian legislative decree n. 231/2001); Legal advice on Criminal Law issues;Intercompany service contracts - editing and updating of contract templates and related legal advice;Advice on Contracts and Civil Law;Support in social responsibility initiatives - legal advice/assistance and contractual matters;Management of out-of-court and judicial disputes in matters falling within the above mentioned areas.Requirements: Master's Degree in Law (mandatory) - Preferable to have passed the bar exam and to have practiced as a lawyerHigh level of fluency in both Italian and English languages.
Excellent organizational skills.
Excellent ability to use the main legal databases, Microsoft Office and Google applications.
Remarkable communication and relational skillsWillingness to travel, both in Italy and abroad.
