About the job
The Legal Counsel guarantees the company, and any other legal entities of the Group, adequate support in the areas of competence, in order to evaluate, mitigate and/or eliminate the risks of a legal nature connected to the specific activities of the area; he/she guarantees legal compliance both with reference to the products and with reference to the company's activities, to be a strategic partner for the Business Units and Functions, as well as for Industrial Affairs, adopting a proactive, problem solving, and thoughtful risk taking approach.
Main responsibilities:
1.
Autonomous management of legal activities, such as agreements of various nature, opinions, advices, etc.
Drafting, review, and negotiation of the necessary documents and in particular:
- contracts, by way of example: licenses, distribution, co-promotion, confidentiality agreements, outsourcing and services contracts, consultancy, collaborations/partnerships
- advices on: commercial initiatives, contracts and corporate law, intellectual property, pharmaceutical law (promotion, reimbursement, prices), risk assessment from a criminal, administrative, civil point of view providing direct support and advice to the Departments and functions concerned, possibly with the involvement of outside counsels
- management of litigations - including the management of relationships with outside counsels - in relation to the Company's products, and having a civil, criminal, or administrative nature, such as, by way of example, administrative appeals regarding pharmaceutical budgets, pricing and/or reimbursement, tenders, etc.
All the above in compliance with the applicable corporate procedures and policies, and also providing coordination support between the various functions involved.

Legal Compliance activities both in relation to products and commercial initiatives and with respect to potential risks pursuant to the Legislative Decree 231/01 and data protection law, taking into account - by way of example - the laws and Courts' decisions evolution and developments, the organizational changes of the Company, the need for employees' training, attending working groups and teams at both Global and Local levels.
3.
Legal support for the activity of industrial sites, as required.
About you
**Experience**:
- Extensive or anyway significant legal activity in a leading law firms, with experience in the pharmaceutical area.
In-house lawyer experience, especially within pharmaceutical companies, will be considered a plus
- Proven experience in dealing with complex transactions (e.g.
: Mergers and Acquisitions) and with a challenging, international environment
**Skills**:
- Deep knowledge of Italian healthcare compliance laws, regulations and ethical rules
- Skills in contract drafting and negotiation
- Ability to analyze complex legal issues
- Excellent writing and oral communication skills
- Capacity to work under pressure and tight deadlines
**Education**:
- Degree in Law and Italian Bar Examination
Languages:
- Italian and (fluent) English
