The Legal Counsel guarantees the company, and any other legal entities of the Group, adequate support in the areas of competence, in order to evaluate, mitigate and/or eliminate the risks of a legal nature connected to the specific activities of the area; he/she guarantees legal compliance both with reference to the products and with reference to the company's activities, to be a strategic partner for the Business Units and Functions, adopting a proactive, problem solving, and thoughtful risk taking approach. The Legal Counsel is part of the Legal Department reporting directly to the Head of Legal.

Main responsibilities:
Contracts, including: distribution, licenses, co-promotion, confidentiality agreements, outsourcing and services contracts, consultancy, collaborations/partnerships.
Advise on commercial initiatives and projects (including AI projects), contracts and corporate law, intellectual property, tender law, and pharmaceutical law and regulation (promotion, reimbursement, prices, sponsorships, clinical studies), risk assessment from criminal, administrative, and civil perspectives providing direct support and advice to the Departments and functions concerned, possibly with the involvement of outside counsels.
Management of litigations – including the management of relationships with outside counsels – in relation to the Company's products, encompassing civil, criminal, or administrative matters, such as administrative lawsuits regarding pharmaceutical budgets, pricing and/or reimbursement, tenders, etc.
Ensure compliance with applicable corporate procedures and policies, providing coordination support between the various functions involved.
Legal compliance activities related to products and commercial initiatives, assessing potential risks pursuant to Legislative Decree 231/01 and data protection law, antitrust, considering the evolution of laws and Court decisions, organizational changes of the Company, and the need for employee training, while attending working groups and teams at both Global and Local levels.
About you Experience : Extensive or significant legal activity in a leading law firm, with experience in the pharmaceutical area. In-house lawyer experience, especially within pharmaceutical companies, is a plus. Proven experience in dealing with complex transactions and in a challenging, international environment.
Soft and technical skills : Deep knowledge of Italian healthcare compliance laws, regulations, and ethical rules; skills in contract drafting and negotiation.
Ability to analyze complex legal issues; excellent writing and oral communication skills; business partner mindset; capacity to work in a team, cross-functionally, under pressure, and tight deadlines.
Education : Degree in Law and Italian Bar Examination is a must.
Languages : Italian mother tongue; fluent in English and legal English.
