How you will learn and grow: You will join our growing Legal team at Group level, based in Milan.
You will actively participate in the development of the Legal function worldwide, contributing to all the corporate matters of the holding company in Italy and of over 50 subsidiaries in Italy and abroad and supporting a challenging and constantly evolving business in its day-by-day operations, delivering best-in-class legal advice to enable management decisions.
In particular: You will draft and review commercial contracts (e.g., NDAs, distribution agreements, supply agreements, agency agreements, cooperation agreements), real estate, loan, hedging and factoring agreements, being exposed to different geographical areas and hierarchical levels of the organization.
You will draft corporate resolutions, powers of attorney and other corporate documents.
You will be involved in cross-functional discussions with the Compliance team, board of statutory auditors and compliance bodies.
You will prepare standard forms of commercial agreements and draft/analyze key provisions to be negotiated by commercial functions worldwide (e.g., non-compete, exclusivity).
You will actively coordinate IP counsels in connection with any IP-related matters (e.g., trademarks, domain names and potential infringements thereof) and be involved in the decision-making process relating to IP matters, also liaising with RD and commercial functions worldwide.
You will support in the expansion and growth of the Legal team through mapping and analysis of IP, real estate, litigation and other key legal workstreams and matters worldwide.
You will support in a wide range of extraordinary transactions, strategic new initiatives and special projects (including commercial projects, MA, joint ventures, internal reorganizations, finance and capital markets transactions) which require legal support.
What you'll add to the team: You have a Degree in Law.
You have 5-6 years of previous experience gained in in-house legal offices of multinational corporate environments or law firms.
You have good knowledge of MS Office (in particular Word and PPT functions).
You are an analytical thinker, with a strong attention to detail and able to prioritize tasks in order to meet challenging deadlines.
You are a real team player, able to interact effectively with different stakeholders.
You have a positive and flexible attitude and proactive approach towards improvement and change.
You are willing to travel across Milan and Verona as required in order to interact with different functions.
Italian is your mother tongue, and you are proficient in English, both spoken and written (Spanish or French fluency would be considered a plus).
